Role of a Company Secretary |
By virtue
of professional education and training, a Company Secretary
has become an important person in the corporate world. He
is a vital link between the company, the board of directors,
the shareholders and governmental agencies. A Company Secretary
has been recognized by various enactments as one of the
principal officers of the company. |
A Company Secretary
(CS) assists corporaters to carry out various functions
in finance, accounts, legal, administrative and personnel
areas in addition to his own secretarial duties and responsibilities.
In fact, his role starts from the very moment when the
idea of formation of a company is conceived. As such his
responsibilities may very from company to company. Company
Secretaries are also called upon to act as corporate development
planners responsible for identifying expansion opportunities
and arranging foreign collaboration, amalgamations, takeovers,
reconstructions, reorganizations and winding up of companies.

How to Become a Company Secretary |
The Institute of Company
Secretaries of India (ICSI) is the only institute from where
a person can qualify to become a CS. |
The Institute of Company
Secretaries of India, New Delhi (Constituted under the Company
Secretaries Act, 1980) provides opportunities to launch
a career in Company Secretary ship. Situated at 22, Institutional
Area, Lodhi Road, New Delhi, it has four regional offices
at Calcutta, Delhi, Mumbai and Chennai and 34 branches located
in almost all major cities. |
CS aspirants, after passing
plus two examination are supposed to clear the foundation
course within three years. The graduates have to clear only
the intermediate and final examinations conducted by the
institute for which they have to get themselves registered
with ICSI. This registration is valid up to five years during
which a candidate has to pass all the examinations. |

The Course |
The course has been divided
into four groups-two for the Intermediate and two for the
Final Examination. In each group there are four papers.
All papers are related to corporate laws, financial management,
labour and personal law, tax law, cost and management accountancy,
etc. The courses are formulated in such a manner that a
person gets the basic knowledge of all the laws, economic
as well as general, with emphasis on the corporate laws. |
To pass the group examination,
one has to secure at least 40 percent in all the papers
and 50 percent in aggregate. The course structure is designed
in a way that it can be managed through self study but one
can also attend the classes at study centers established
by the institute. For this, one has to get enrolled at the
study center by paying a fee. The institute also provides
postal support and the study material can be obtained from
the study centers on payment. |

Foundation Course and
Intermediate Course |
Eight months Foundation
Course (For 10+2 Pass or equivalent.). The Institute conducts
examination by registering students and imparting coaching
through distance education as well as optional oral classes
for the Company Secretary ship Course. |

Eligibility for Admission |
|
(i) Students who have passed Senior
Secondary (10+2 or equivalent) examination in any
stream, excluding Fine Arts can join the course. |
|
(ii) Students who have appeared or
enrolled themselves for appearing in the Senior
Secondary (10+2 or equivalent) examination are also
eligible for provisional enrollment. However, proof
of passing of the said examination is required to
be furnished within 6 months of the provisional
enrollment. |
|
(iii) There is no minimum percentage
for admission to the Foundation Course. |
|
Examination: |
|
Admission is open throughout the
year and examination are held twice a year, i.e.
in June and December. |
|

Qualifying Marks: |
|
A students shall be declared to have
passed the Foundation Examination if he/ she secures
at one sitting a minimum of 40% marks in each subject
and 50% marks n the aggregate of all subjects. |

The Institute imparts compulsory
postal tuition. Students are provided with study
material on each subject at the time of enrollment.
In addition to compulsory postal tuition, students
have the option to attend the coaching classes
organized by the Institute through its 40 offices
all over India. A student will be required to
successfully complete postal or oral coaching
to become eligible for admission to the examination. |

The Institute allows the option of
writing the response sheets under postal coaching
and examination in English or Hindi medium. The
study material at present however, is being made
available in English only. |
|
Candidates who pass the Foundation
examination are eligible to seek direct registration
to the Intermediate Course of Company Secretary
ship. |

Course Fee : |
|
Rs. 950, payable at the time of registration
(subject to revision by the Institute from time
to time) 50% concession is granted to the candidates
belonging to SC/ST categories. |
|
Application for Admission : |
|
Enrollment for Foundation Course
is open throughout the year. For appearing in June
Examination, enroll by 30th September and for appearing
in December Examination, enroll by 31st March. Application
for admission is to be made in prescribed from FC-1
together with attested copies of date of birth and
passing of Senior Secondary Examination / proof
enrollment for appearing in examination. |

prospectus of the Foundation Course can be obtained
on payment of Rs. 35 (including postage) (subject
to change by the Institute) by way of demand draft
/ pay order / postal order drawn in favor of the
Institute of Company Secretaries of India, or by
tendering Rs. 25 in cash at the Reception Counter
of the Institute’s headquarters or at offices
of its Regional Centers. |

Postal / Oral Coaching Facilities
for Final Exam: |
|
The Institute imparts compulsory
postal tuition for the intermediate and the final
examination to its registered students. Non-commerce
students are required, in addition, to compulsorily
undergo coaching for the Intermediate examination.
Regional Councils and offices of the Institute also
conduct oral coaching classes for the benefit of
the students in addition to compulsory postal tuition
imparted by the institute. |

A student is required to successfully
complete coaching in classes in order to become
eligible for admission to the Intermediate/Final
examination. Registration is open throughout the
year. Candidates registered up to and including
the month of February in a year are eligible for
appearing in Intermediate examination held in December
of that year. Those registered up to and including
the months of August in a year are eligible to appear
in the Intermediate examination held in June of
next year subject to completion of coaching. |

A student is admitted to the Final
Examination only after a minimum period of nine
calendar months has elapsed since his passing the
Intermediate examination. He will, however, be eligible
to appear in only one group of the Final examination
held following the session of examination in which
he completes Intermediate examination, subject to
completion of coaching. |

The examination is conducted twice
a year in June and December. |
|

Job Prospects |
The demand for company
secretaries is growing. A fresh CS may be appointed company
secretary or assistant secretary at the middle or senior
management level. A CS can hope to rise to the rank of Chairman
of the company. Company Secretaries, by virtue of their
academic qualifications and expertise, are taken on the
company’s governing board. A CS may prefer to work
on his own after the ICSI gives him due recognition. |

Self-Employment Opportunities |
A member of the Institute may practice
as a practicing company secretary after obtaining a certificate
of practice. |
He may also act as a share transfer
agent, share and stock broker, a secretarial auditor, consultant
or an adviser to a company on management including any legal
or procedural matter falling under the Capital Issues (Control)
Act, 1947, the Industries (Development and Regulation Act,
1951. |
The Company Secretary
ship qualification has been recognized by some of the universities
for the purpose of appointment as Lecturers. The institute
also appoints its members to act as part-time examiners
to evaluate students’ response sheets under its postal
tuition scheme or as part-time lectures for its various
oral tuition centers. The members are also given various
academic assignments, such as preparation, revision/review,
etc. of postal coaching material and also for academic or
research assignments in the fields for accountancy, law
or management. |

Company Secretaries command
high salaries, as compared to other managerial staffs. The
scale varies from company to company and also depends on
the kind of experience and knowledge the candidate commands.
